These Terms & Conditions are drafted, interpreted, and enforced in strict compliance with the following Indian laws and regulations:

Primary Governing Laws

• Indian Contract Act, 1872
  Governs the formation, validity, enforceability, and interpretation of this legally binding agreement between BusiBeez and its Users.
• Information Technology Act, 2000
  Regulates electronic records, digital contracts, cyber offences, intermediary liability, and platform responsibilities.

Platform & Intermediary Compliance

• Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021
  Establishes due-diligence obligations, content moderation responsibilities, grievance redressal mechanisms, and safe-harbour protections applicable to BusiBeez as an intermediary platform.

User & Consumer Protection

• Consumer Protection Act, 2019
  Applicable to platform representations, disclosures, unfair trade practices, and grievance handling where Users qualify as consumers.

 

LEGAL EFFECT

These laws collectively:

• Make the Terms legally binding and enforceable
• Define User obligations and platform rights
• Provide statutory backing for account suspension, content removal, dispute resolution, and limitation of liability

DEFINITIONS & INTERPRETATION

For the purposes of these Terms:

• “Platform” means the Busibeez mobile application, website, APIs, and related services.
• “Company” means Entrexael Technology Solution Private Limited, operating the Busibeez platform.
• “User” means any individual or entity accessing or using the Platform, including business users, creators, service providers, and consumers.
• “Content” means any data, text, images, videos, listings, messages, advertisements, or materials uploaded or shared by Users.
• “Applicable Law” means all Indian laws, rules, regulations, notifications, and judicial precedents in force.

Headings are for convenience only and shall not affect interpretation.

1. LEGALLY BINDING AGREEMENT

These Terms and Conditions (“Terms”) constitute a legally binding contract under the Indian Contract Act, 1872 between:

• Entrexael Technologies Pvt. Ltd. (“Company”, “BusiBeez”, “We”, “Us”), and
• Any individual, business, creator, service provider, seller, or entity (“User”, “You”).

By accessing, registering, or using the BusiBeez Platform, You expressly acknowledge that:

• You have read,
• Understood,
• And voluntarily agreed to be bound by these Terms and the Privacy Policy.

If You do not agree, You must immediately discontinue use of the Platform.

Busibeez is built to enable inclusive business participation, including traditional, offline, and non-digital service providers, by offering structured digital discovery and communication tools.

“Nothing contained herein shall be construed as creating any partnership, joint venture, agency, or employment relationship between BusiBeez and any User.”

2. ELIGIBILITY & LEGAL CAPACITY

• Users must be at least 18 years of age and legally competent to contract.
• If accessing on behalf of a business or entity, you represent that you have authority to bind such entity.
• Busibeez is not liable for unauthorized or false representations of authority.

3. PLATFORM ROLE & INTERMEDIARY STATUS

BusiBeez operates as a technology intermediary and business-centric social platform.

• BusiBeez does not own, sell, guarantee, or endorse any products or services listed by Users.
• All transactions, communications, and representations are solely between Users.
• BusiBeez shall not be treated as a seller, agent, broker, employer, or partner.

This status is protected under Section 79 of the Information Technology Act, 2000, subject to due diligence.

Third-Party Services Disclaimer

The Platform may integrate or rely upon third-party services, including but not limited to payment gateways, mapping services, cloud infrastructure, analytics, communication tools, and notification services. Busibeez does not control and shall not be responsible for the availability, performance, accuracy, or failure of such third-party services.

“Electronic acceptance of these Terms shall constitute valid consent under the Information Technology Act, 2000.” 

3.1 Inclusion of Offline and Non-Digital Businesses

Busibeez is designed to support and promote offline, non-digital, home-based, and service-oriented businesses.

The Platform enables such businesses to gain digital visibility, customer discovery, and communication support without requiring advanced technical or digital expertise.

Busibeez does not discriminate against businesses based on their level of digital adoption.

3.2 Fair & Non-Discriminatory Platform Access

Busibeez provides equal platform access and discovery opportunities to Users regardless of whether their business operations are conducted digitally, partially digitally, or entirely offline.

Visibility, engagement, and participation on the Platform are governed by relevance, category classification, and user intent, and not by advertising spend or digital sophistication.

4. USER DATA OWNERSHIP & CONFIDENTIALITY

4.1 Data Ownership

Users agree to:

• Provide accurate, lawful, and complete information
• Maintain confidentiality of login credentials
• Be solely responsible for all activities conducted through their account
• All personal, business, transactional, and content data uploaded by Users remains the property of the User.

4.2  CONFIDENTIALITY

BusiBeez receives only a limited, revocable subject to applicable law and operational requirements, non-exclusive license to:

• Host
• Store
• Process
• Display

Such data solely for platform functionality. Busibeez is not responsible for losses arising from unauthorised account use.

4.3 User-Initiated Account Termination Right

Users may discontinue use of the Platform and delete their account at any time through available account settings, subject to applicable law, ongoing obligations, and data retention requirements as described in the Privacy Policy.

“BusiBeez shall not be responsible for the accuracy, legality, quality, safety, or authenticity of User-generated listings, communications, or transactions.”

5. USER CONTENT & LICENSE

5.1 Ownership

Users retain ownership of their Content.

5.2 License to Busibeez

By uploading Content, Users grant Busibeez a worldwide, non-exclusive, royalty-free, sublicensable license to:

• Host, store, display, distribute
• Use for platform operations, analytics, marketing, and promotion

This license survives account termination to the extent required by law. 

6. STRICT DATA MISUSE PROHIBITION

6.1 PROHIBITED ACTIVITIES

Users shall not upload or engage in:

• Illegal, fraudulent, or deceptive activities
• Sale of prohibited or regulated goods without authorization
• Hate speech, harassment, or harmful content
• Intellectual property infringement
• Automated scraping, bots, or unauthorized data extraction

Violation may result in immediate suspension or termination

6.2 Data Theft

Any person who:

• Accesses User data without authorization,
• Copies, scrapes, sells, distributes, or exploits User data,
• Uses automated tools, bots, or APIs without permission,

Shall be deemed to have committed a punishable offence under:

• Section 43 & 66 of the IT Act, 2000
• DPDP Act, 2023
• Indian Penal Code (cheating, breach of trust, criminal misappropriation)
  
  “BusiBeez reserves the right to cooperate fully with law enforcement agencies and regulatory authorities in the investigation of such offences.”

6.3 Legal Consequences

Such acts may result in:

• Immediate account termination,
• Civil damages,
• Criminal prosecution,
• Monetary penalties imposed by statutory authorities,
• Injunctive relief before competent courts.

7. ACCOUNT TERMINATION & ENFORCEMENT

BusiBeez reserves the absolute right to:

• Suspend or terminate accounts,
• Remove content,
• Restrict access,

Without prior notice if a User:

• Violates law,
• Breaches these Terms,
• Endangers platform integrity,
• Engages in fraudulent or abusive conduct.
• Regulatory or law enforcement direction
  
  “Such actions may be taken with or without notice where permitted by law.”

8. LIMITATION OF LIABILITY

• To the maximum extent permitted under applicable law, Busibeez shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities.
• The total aggregate liability of Busibeez, if any, shall not exceed the fees actually paid by the User to Busibeez in the six (6) months immediately preceding the event giving rise to the claim.
• All subscription fees, promotional charges, or service fees paid to Busibeez are non-refundable, including in cases of account suspension or termination due to violation of these Terms or applicable law, except where a refund is expressly required by law.

9. PAYMENTS, FEES & REFUNDS

• Certain features may be paid, subscription-based, or promotional.
• All payments are processed via third-party payment gateways.
• Busibeez does not hold escrow and is not responsible for payment disputes.
• Fees are non-refundable unless expressly stated.
• Taxes, including GST, are the responsibility of the User where applicable.

10. NO GUARANTEE / NO EMPLOYMENT

• Busibeez does not guarantee:

           Sales, leads, income, reach, or visibility

• Nothing herein creates:

1. Employer–employee
2. Agency
3. Partnership or joint venture

Support for offline or digital businesses does not constitute a guarantee of sales, customers, income, or business success.

11. DISCLAIMER OF WARRANTIES

The Platform is provided “AS IS” and “AS AVAILABLE”.

Busibeez does not warrant that the Platform will be uninterrupted, timely, secure, error-free, or free from defects, bugs, or technical issues.

Busibeez disclaims all warranties, including:

• Accuracy
• Reliability
• Fitness for a particular purpose
• Continuous availability

12. INDEMNIFICATION

Users agree to fully indemnify, defend, and hold harmless BusiBeez, its directors, officers, employees, partners, affiliates, successors, and assigns, from and against any and all claims, losses, damages, liabilities, penalties, fines, costs, and expenses, including reasonable advocate fees and litigation expenses, arising out of or in connection with:

• User-generated content;
  • Any illegal, unlawful, or unauthorised activity carried out by the User;
  • Any misrepresentation, false information, or breach of these Terms;
  • Any dispute, claim, or proceeding initiated by a third party due to the User’s actions or omissions.

13. FORCE MAJEURE

Busibeez shall not be liable for failure or delay due to events beyond reasonable control, including:

• Natural disasters
• Cyberattacks
• Government actions
• Network or infrastructure failures

14. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India.

Subject to the provisions of applicable consumer protection laws, the courts at Tamil Nadu, India, shall have exclusive jurisdiction over all disputes arising out of or in connection with these Terms.

Any dispute, controversy, or claim arising out of or relating to these Terms, other than disputes falling within the jurisdiction of statutory consumer forums, shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996.

The seat and venue of arbitration shall be Tamil Nadu, India.
The arbitration proceedings shall be conducted in the English language.
The arbitral award shall be final and binding on the parties.

15. MODIFICATION OF TERMS

Busibeez may update these Terms at any time.
Continued use of the Platform constitutes acceptance
